Quotes are estimates based on the information available at the time and are valid for 30 days unless stated otherwise. Work begins once a quote or proposal is accepted and, where applicable, a deposit is received. Any request that materially changes the agreed scope may result in a revised quote and timeline.

3. Payment Terms

Unless otherwise agreed in writing, projects are billed in milestones (for example: deposit, mid-project, and final payment on delivery), and ongoing services such as maintenance or care plans are billed on a recurring basis. Invoices are due upon receipt unless a different payment term is specified. Late payments may result in paused work. Our Refund Policy describes how refunds, if any, are handled.

4. Client Responsibilities

To keep your project on schedule, you agree to provide timely feedback, content, and access (e.g., domain, hosting, or third-party accounts) as reasonably requested. Delays in providing these may affect the project timeline and are not our responsibility.

5. Intellectual Property

Upon full and final payment for a project, ownership of the specific website, design, and custom code delivered to you transfers to you, except for:

Any third-party software, plugins, themes, stock images, or licensed assets, which remain governed by their own licenses;
Our own general-purpose tools, frameworks, or internal code libraries not specific to your project, which we retain the right to reuse.

We retain the right to display completed projects in our portfolio and marketing materials, including on this website, unless you request otherwise in writing (for example, due to confidentiality requirements).

6. Third-Party Products & Services

Projects may rely on third-party products or services — such as domain registrars, hosting providers, plugins, or APIs. We are not responsible for outages, price changes, or policy changes made by these third parties, though we will assist in resolving related issues where reasonably possible.

7. Warranties & Disclaimers

We aim to deliver high-quality, functional websites and services, and will correct defects reported within a reasonable post-launch support window as agreed in your project scope. Beyond that, our Services are provided "as is," and we make no guarantee of specific business outcomes (such as search rankings, traffic, or sales), as these depend on many factors outside our control.

8. Limitation of Liability

To the maximum extent permitted by law, Netsera Digital shall not be liable for any indirect, incidental, or consequential damages arising from your use of our website or Services. Our total liability for any claim relating to a project is limited to the amount you paid us for that project.

9. Termination

Either party may terminate an engagement with written notice. You remain responsible for payment of work completed up to the termination date. We reserve the right to suspend or terminate services for non-payment or misuse of our Services.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of Ontario.
